1. Acceptance of Terms

By accessing, browsing, evaluating, or interacting with https://qtsi.ca, our executive portals, our Digital Workplace Academy resources, or our self-service automated assessment engines, you confirm that you have reached the age of majority in your jurisdiction and have full authority to bind yourself or the corporate entity you represent to these Terms of Use. If you do not agree to these Terms, you are prohibited from using this website and must discontinue use immediately.

2. Corporate Entity & Founder Personal Shield

All advisory engagements, digital materials, and corporate statements are provided solely by Quality Training & Technology Services Inc. (“QTSI”), an incorporated company registered under the laws of the Province of Alberta, Canada.

You explicitly acknowledge and agree that your legal and contractual relationship is strictly and exclusively with the corporate entity of QTSI. Under no circumstances shall Manav Chadha personally, or any individual director, officer, shareholder, employee, or agent of QTSI, be held personally liable for any act, omission, advice, calculation, score, or representation rendered on or through this website.

3. Intellectual Property Rights & Trademarks

Unless otherwise explicitly noted, the website, its software code, visual layout, graphics, charts, proprietary assessment algorithms, diagnostic rubrics, curriculum modules, and written text are the exclusive intellectual property of QTSI and Manav Chadha, protected under Canadian copyright laws, international treaties, and trademark jurisprudence.

• Trademarks: “QTSI,” “Executive Command Center™,” “Digital Workplace Academy™,” the QTSI logo, and associated brand trade dress are exclusive proprietary marks of Quality Training & Technology Services Inc. No license or right is granted to use any mark without prior written authorization.
• Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to view and download single copies of publicly available materials solely for your internal evaluation of QTSI’s advisory and technology procurement capabilities.

4. Anti-Scraping, Anti-Crawling & AI Ingestion Ban

You agree not to engage in any automated extraction, harvesting, or exploitation of content from https://qtsi.ca. Specifically, you agree that you will not:

• Deploy any robot, spider, crawler, scraper, offline reader, or automated extraction device to systematically harvest data, text, assessment questions, or corporate profiles.
• Ingest, parse, embed, or vectorize any part of this website or its downloadable materials into any artificial intelligence system, large language model (LLM), neural network, machine learning corpus, or retrieval-augmented generation (RAG) vector repository without an executed, notarized commercial licensing contract.
• Reverse-engineer, decompile, or disassemble any interactive tool, readiness calculator, or serverless script powering our assessment engines.

5. Identity, Likeness & Executive Reputation Protection

The name, photograph, likeness, executive bio, voice, video, and professional reputation of Manav Chadha represent protected common law and statutory property.

• No individual or organization may generate, publish, or distribute synthetic media, deepfakes, automated impersonations, or simulated statements attributing false or unauthorized positions to Manav Chadha or QTSI.
• Any unauthorized misappropriation of Manav Chadha’s identity or likeness will be met with immediate statutory injunctions and claims for punitive and exemplary damages under the laws of Alberta and Canada.

6. Advisory & Assessment Disclaimers (Non-Fiduciary Status)

All materials published on https://qtsi.ca, including the AI Governance Assessment, Discovery Packages, gap analysis calculators, and Growth Capital briefings, are published for general informational and exploratory purposes only.

• No Legal or Regulatory Opinion: Nothing on this website constitutes legal advice, formal ISO/IEC 42001 certification registrar auditing, financial advice, or tax advice (including SR&ED qualification opinions). Organizations must retain accredited independent professionals for binding certifications and tax filings.
• No Outcome Guarantees: Estimates of potential capital, grant availability (e.g., NRC IRAP, PrairiesCan, Alberta Innovates), or cost reductions are heuristic approximations and do not constitute a commitment, warranty, or guarantee of approval.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Exclusion of Consequential Damages: In no event shall QTSI, its affiliates, directors, officers, employees, or Manav Chadha personally be liable for any indirect, special, incidental, consequential, punitive, or reliance damages, including loss of business, lost profits, lost grant funding, regulatory fines, or system downtime.
• Strict Aggregate Liability Cap: The maximum cumulative liability of QTSI and its representatives for any and all claims arising under or related to these Terms or your use of the website shall not exceed the lesser of: (a) the actual fees paid by you to QTSI for the specific online service during the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars ($100.00 CAD).

10. Indemnification

You agree to defend, indemnify, and hold harmless Quality Training & Technology Services Inc., its founder Manav Chadha, directors, officers, employees, contractors, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable legal expenses (including solicitor-client fees) arising out of or in any way connected with: (a) your access to or use of the website; (b) your violation of these Terms; or (c) any assessment responses or corporate representations provided by you.

11. Governing Law, Exclusive Forum & Class Action Waiver

These Terms of Use and your relationship with QTSI are governed exclusively by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

You agree that any claim, dispute, or proceeding arising out of these Terms shall be instituted exclusively in the Courts of the Province of Alberta, Judicial District of Edmonton. You waive any objection to personal jurisdiction or inconvenient forum. Furthermore, you agree that any dispute resolution proceeding will be conducted solely on an individual basis and not in a class, consolidated, or representative action.
